These Terms of Service ("Terms") are an agreement between you and ISEMI COMPANY LIMITED ("we", "us"), a company registered in Vietnam, about your use of the Spikdi mobile app, website, and related services (collectively, the "Service"). By creating an account or using Spikdi, you accept these Terms.

1. Who can use Spikdi

You must be at least 12 years old to use Spikdi. If you are under 18, you represent that your parent or legal guardian has reviewed and agreed to these Terms on your behalf. We do not knowingly allow accounts for children under 12; see our Privacy Policy for what happens if we discover one.

2. Your account

• You're responsible for keeping your sign-in method (Apple, Google, or email) secure. If someone else accesses your account, that's on you until you tell us.
• Information you provide (display name, avatar) must not impersonate another person or violate someone else's rights.
• You can delete your account at any time from Settings → Account → Delete. Deletion is described in the Privacy Policy.

3. Acceptable use

While using Spikdi, you agree not to:

• Write, upload, or publish lessons or recordings that are illegal, hateful, harassing, sexually explicit, violent, deceptive, or that infringe someone else's rights;
• Attempt to bypass, disrupt, reverse-engineer, or overload the Service;
• Scrape, harvest, or resell content from Spikdi without our written permission;
• Use Spikdi to train competing AI models or to build derivative datasets;
• Pretend to be someone else, or use Spikdi for fraud, spam, or any unlawful purpose.

We use Google Gemini and human review to moderate user-generated lessons before they're public. We may remove content, suspend, or terminate accounts that violate these Terms, without notice when necessary.

4. Content you create

You keep ownership of the lessons you write and the voice recordings you make. By submitting content to Spikdi, you grant us a worldwide, royalty-free, non-exclusive license to host, store, process, transmit, display, and back up that content solely so we can operate, secure, and improve the Service for you.

If you choose to publish a lesson (making it public to other Spikdi users), you additionally grant us the right to display and distribute that lesson to other users of the Service, and to allow them to view and practice with it inside the app. You can unpublish or delete a published lesson at any time; we'll remove it from public display, though copies may persist briefly in caches and backups.

Voice recordings are private by default. We never make a recording public without an explicit publish action by you.

5. AI-generated content

Spikdi uses third-party AI services (Google Gemini, Imagen, Suno) to generate lesson scripts, translations, background images, and ambient music from your prompts. Because of how these models work:

• AI output may be inaccurate, incomplete, biased, or culturally insensitive. You are responsible for reviewing it before publishing.
• We do not guarantee that AI-generated text, images, or music is original or free of third-party rights. If you publish AI output, you accept the risk of that.
• We may filter, edit, or refuse to generate output that violates our content policies or the providers' policies.

6. Our content and trademarks

The Spikdi app, website, design, code, name, logo, and brand assets are owned by ISEMI COMPANY LIMITED and protected by copyright, trademark, and other laws. We grant you a limited, personal, non-transferable, revocable license to use the Service as intended. No other rights are granted.

7. Payments and subscriptions

Spikdi is free to start. If we introduce paid features or subscriptions in the future, they will be billed by Apple App Store or Google Play according to their terms. Prices, free-trial periods, renewals, and refunds will follow Apple/Google's rules and the in-app disclosures shown at the time of purchase. Subscriptions auto-renew unless cancelled in your App Store or Google Play account at least 24 hours before the next billing date.

8. Termination

You can stop using Spikdi at any time and delete your account from Settings. We may suspend or terminate your access if you breach these Terms, if required by law, or if continuing to serve your account would expose us or other users to risk. Sections that by their nature should survive (ownership, disclaimers, liability, governing law) survive termination.

9. Disclaimers

Spikdi is provided "as is" and "as available". We do not guarantee that the Service will be uninterrupted, error-free, or that AI scoring, AI-generated content, or translations will be accurate or fit for a particular purpose. Pronunciation scores are an approximate signal, not a professional language assessment.

To the maximum extent permitted by law, we disclaim all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement.

10. Limitation of liability

To the maximum extent permitted by law, ISEMI COMPANY LIMITED and its team are not liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of data, profits, revenue, or goodwill arising from your use of Spikdi. Our total liability for any claim relating to the Service is limited to the greater of (a) the amount you paid us for the Service in the 12 months before the claim, or (b) US $50.

11. Indemnity

You agree to indemnify and hold us harmless from any claim, demand, or damages arising out of content you publish on Spikdi or your breach of these Terms.

12. Governing law and disputes

These Terms are governed by the laws of the Socialist Republic of Vietnam, without regard to its conflict-of-laws rules. Disputes will be resolved in the competent courts of Ho Chi Minh City, Vietnam, except where mandatory consumer-protection law in your country of residence gives you the right to bring a claim locally.

13. Changes to these Terms

If we change these Terms, we'll notify you in the app at least 14 days before the change takes effect. Continued use of Spikdi after the change means you accept the new Terms. If you don't agree, stop using the Service and delete your account before the change date.
